Our Company acquired 30% shares of KPAY Ödeme Teknolojileri A.Ş., which operates as the private integrator of PayTR Ödeme ve Elektronik Para Kuruluşu A.Ş., which was granted an operating license by the BRSA decision dated April 27, 2016 and numbered 6684, for USD 300,000 and it was decided to add this amount to the company capital.

IBM Equipment Purchase Agreement between VBT Yazılım A.Ş. and a Private Bank

Our company VBT Yazılım A.Ş. has signed a contract with a private bank located in Turkey for the purchase of "2 IBM Mainframe, 1 CF Machine and 2 IBM Power Servers". The total value of the contract is USD 10.290.000. The machines will be delivered within 2 months and payment will be received within 15 days after delivery.

New Company Establishment in Germany by VBT Yazılım A.Ş.

VBT Software A.Ş. has established a company named VBT Software DE GmbH with a capital of EUR 100.000 in order to develop its software activities in Germany and completed the establishment on 30.06.2022. Pending receipt of the tax number.

ENGLISH GURU LLC Share Purchase from VBT Yazilim A.S.

VBT Yazılım A.Ş. acquired 20% of the shares of ENGLISH GURU LLC, a company operating in the Online Language Sector and established in the United States of America, for USD 100.000. The purchase price was added to the capital of the company.

PD Anadolu's Title Change and Capital Increase

PD Anadolu Araştırma Danışmanlık Eğitim ve Bilişim Hizmetleri Ticaret Anonim Şirketi, a subsidiary of our Company, held its 2021 Ordinary General Assembly and it was decided at the Ordinary General Assembly to change the title of the company to Datamınd Bilişim AŞ and to increase the company capital from TL 1,500,000 to TL 5,500,000.

Subsidiary Agreement with PD Anadolu from VBT Yazilim A.S.

VBT Yazılım A.Ş. acquired the shares of PD Anadolu Araştırma Danışmanlık Eğitim ve Bilişim Hizmetleri Ticaret A.Ş. (51,2% shares) on 18.04.2022 and made PD Anadolu a subsidiary. The agreement was realized for a consideration of TL 22.980.000.
